2. Definitions
Service: The recruitment automation software provided by ExactCareers.
User: Any individual or entity using our Service.
Content: All text, images, videos, audio, and other materials accessible through the Service.
Account: The personal account created by the User to access the Service.
Third Party Applications: Applications provided by third parties that may be integrated with our Service.
3. Account Registration
3.1 Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate, current, and complete.
3.2 Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
4. Use of Service
4.1 License: Subject to these Terms, we grant you a non-exclusive, non-transferable, limited license to use the Service for your internal business purposes.
4.2 Prohibited Activities: You agree not to use the Service for any unlawful or prohibited activities, including but not limited to:
- Violating any local, state, national, or international law.
- Harming or attempting to harm other individuals in any way.
- Transmitting any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

5. User Content
5.1 Responsibility: You are solely responsible for all Content that you upload, post, or otherwise transmit through the Service.
5.2 License to Company: By uploading, posting, or otherwise transmitting Content through the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such Content.
5.3 Prohibited Content: You agree not to upload, post, or otherwise transmit any Content that:
- Infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
- Contains any viruses, Trojan horses, worms, time bombs, or other harmful computer code, files, or programs.
6. Integration with Third Party Applications
We may integrate with many third-party applications (“Third Party Applications”). Access and use of the Third Party Applications may require acceptance of terms of service and privacy policies applicable to such Third Party Applications. We are not responsible for the practices of any Third Party Applications and encourage you to review their terms and policies carefully.
7. Fees and Payments
7.1 Subscription Plans: The Services are available under subscription plans of various durations. Payments for subscription plans of duration of less than a year can be made only by Credit Card.
7.2 Automatic Renewal: Your subscription will be automatically renewed at the end of each subscription period unless you downgrade your paid subscription plan to a free plan or inform us that you do not wish to renew the subscription. At the time of automatic renewal, the subscription fee will be charged to the Credit Card last used by you.
8. Inactive User Accounts Policy
We reserve the right to terminate unpaid user accounts that are inactive for a continuous period of 120 days. In the event of such termination, all data associated with such user account will be deleted. We will provide you prior notice of such termination and the option to back-up your data.
9. Suspension and Termination
9.1 Suspension: We may suspend your user account or temporarily disable access to whole or part of any Service in the event of any suspected illegal activity, extended periods of inactivity, or requests by law enforcement or other government agencies.
9.2 Termination by You: You may terminate your account at any time by contacting us.
9.3 Termination by Us: We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice, if you violate these Terms or engage in any conduct that we deem harmful to the Service or other users.
9.4 Effect of Termination: Upon termination, all licenses and rights granted to you in these Terms will immediately cease. We are not liable for any termination of your access to the Service or deletion of your Content.
10. Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, ExactCareers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from
- your use or inability to use the Service
- any unauthorized access to or use of our servers and/or any personal information stored therein
- any interruption or cessation of transmission to or from the Service
- any bugs, viruses, Trojan horses, or the like that may be transmitted to or through our Service by any third party
- any errors or omissions in any Content or for any loss or damage incurred as a result of the use of any Content posted, emailed, transmitted, or otherwise made available through the Service
- the defamatory, offensive, or illegal conduct of any third party.
12. Indemnification
You agree to indemnify, defend, and hold harmless ExactCareers, its affiliates, and their respective officers, directors, employees, agents, and representatives from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.
13. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or through the Service. Your continued use of the Service after such notification constitutes your acceptance of the revised Terms.
